SUPPLY OF SERVICES BY N.A.N

1. DEFINITIONS

Important Definitions:

Booking: the activities, session or event mutually agreed and confirmed in writing by the Client and N.A.N.

Services: provision of workshops, training, activities, events, presentations by N.A.N.

Client: the business, organisation, club, society, educational establishment or individual who purchases the Services from N.A.N.

Site: the location at which N.A.N is required to deliver the Services.

Force Majeure Event: an event or circumstance beyond a party's reasonable control.

Intellectual Property Rights: copyright and neighbouring and related rights, moral rights, trademarks, business names and domain names, goodwill, database rights, rights to use and protect the confidentiality of, confidential information and all other intellectual property rights, in each case whether registered or unregistered and in any part of the world.

When engaging the Services of N.A.N the Client Agrees to the following ('The Agreement'):

2. COMPANY INFORMATION

The Narcissistic Abuse Network (N.A.N) is a Trading Name of Waywood Enterprises Limited, Company Registration Number 06455974, Registered in England and Wales.

3. BOOKING N.A.N

All Bookings are accepted in good faith as confirmed in writing.

Initial Contact – Initial contact by the Client may be in writing (letter, e-mail, text, message via social media) or verbal (telephone, in-person). The Client should include the following information, wherever possible in the initial contact.

  • Contact name.
  • Name and address of location at which event will be held.
  • Name and address of Booking organisation (if different from above).
  • Contact e-mail address and telephone number.
  • Date of required Booking (date/month/term/year) if known.
  • Brief summary of event, expected audience and expectations of N.A.N.
  • Any additional information that the Client feels is helpful or necessary.

Quote and Provisional Booking by N.A.N – Booking will be confirmed by N.A.N, in writing and will contain the following, as appropriate:

  • Provisional date(s) the Services will be provided (if not already agreed),
  • Venue at which the agreed Services will take place.
  • Expected group size.
  • Expectations of N.A.N for provision of Services.
  • Cost, with details of travel and, if necessary, accommodation costs.
  • Any legal documentation required.

Provisional Bookings – N.A.N accepts provisional bookings, that is, a booking where a date or event is not yet confirmed. Provisional dates for the Booking will be valid for a period of 14 days from the date of original enquiry, or time period agreed between the Client and N.A.N, for example, if a meeting is required to approve provision of Services by N.A.N. Failure to confirm the date will render the provisional booking void and release the date for booking by other clients.

Final Confirmation of Booking by Client – After considering the information provided by N.A.N, the Client will confirm, in writing, at least two preferred dates (if not previously agreed) and provide answers to any questions asked. Once details have been finalised, formal confirmation of the Booking will be made, in writing, by the Client or N.A.N, as agreed.

4. RESCHEDULING and CANCELLATION

It is understood that, on occasions, dates will need to be adjusted due to unforeseen circumstances.

Where the Booking is to be re-scheduled, the party responsible for requesting a change of date will make initial contact, in writing. This should be, wherever possible, at least 14 days in advance of the originally agreed date of the Booking.

A revised date will be agreed and confirmed in writing.

If re-scheduling is not possible and it is necessary for the Client to cancel the Booking, the following will apply.

  • Cancellation is greater than 14 days before the planned date of the Booking: neither the Client nor N.A.N will be liable for any further costs.
  • Cancellation is 14 days or less before the planned date of the Booking: the Client will be required to pay 50% of the Price agreed, less transport costs, to N.A.N .
  • Force Majeure: Neither the Client nor N.A.N shall be liable to any costs.

5. PRICING

Price of Services will be agreed before confirmation of the Booking.

Where N.A.N is responsible for arranging travel and accommodation, the price will comprise the following four components.

  1. Time – this includes creation and preparation of materials.
  2. Materials – this includes printing, compilation and binding of materials.
  3. Travel – depending upon distance travelled this will either be by car (charged at 45p per mile for the total return distance travelled), rail fares (cost of standard class travel), air fares (cost of flights and booking), ferry costs (cost of sailing) and road toll charges (such as, pollution and congestion charges and bridge, tunnel or road tolls).
  4. Accommodation – where one night or more stay is required, hotel costs (room, meals, drinks) will be billed at price paid by N.A.N.

6. PAYMENT

N.A.N operates a 28-day payment term unless agreed otherwise prior to, or at, the time of Booking.

Invoicing will be before date of the provision Services. An initial deposit of 20% of the total cost for Services (excluding travel, but including cancellation fees for flights, ferries, hotels, etc) is payable upon booking.

In exceptional circumstances, full payment from the Client will be accepted before provision of Services by mutual agreement between the Client and N.A.N, at the time of confirmation.

Payment is accepted in Pounds Sterling and will be made via bank transfer (BACS).

A full, itemised invoice will be provided by N.A.N for all Services provided.

Late Payment – Payments not received by 28 days after the date of delivery of the Services, without prior mutual agreement between N.A.N and the Client, will be subject to an additional charge of 10% of original quoted price (including travel and accommodation) per 28 day period.

7. THE BOOKING (VENUES, REFRESHMENTS, MEALS, SERVICES)

The Client is responsible for:

  • advertising,
  • co-ordinating attendees,
  • the venue,
  • refreshments,
  • meals.

N.A.N is responsible for the production of all materials related to the Services provided, including handouts and any specific documentation required. N.A.N is also responsible for the preparation and delivery of Services on the date(s) agreed.

The Client agrees to comply with their responsibilities as set out during the booking process and N.A.N will NOT be responsible for the quality of the Services provided where it is the result of Client failure to comply with agreed roles and responsibilities.

N.A.N agrees to:

  • Arrive at the Booking in good time to be set-up and ready to start at the agreed time, unless prohibited by unforeseen circumstances.
  • Deliver the Services to their audience with diligence, attention and empathy.
  • Fulfil any follow-up action agreed at the time of Services delivery.

8. SERVICES PROVIDED BY THIRD PARTIES

N.A.N is NOT qualified to make assessments, diagnoses or determine the most appropriate course of therapy for people making direct contact for help. HOWEVER, we provide, in good faith, links to professionals with proven experience and expertise in the specialist care required for survivors of emotional abuse. Each professional service provider has been carefully vetted and selected before appearing on the N.A.N website. Any visitor who engages the services of a professional via the N.A.N website, agree that responsibility for their ongoing care falls on the professional(s) concerned, not on N.A.N.

9. INFORMATION and SERVICES PROVIDED BY N.A.N

N.A.N agrees to provide information and services of the highest quality and, wherever possible, to include updates in thinking and understanding in the subjects that we teach.

N.A.N also agrees to present best-practice whenever possible. We reserve the right to express our own opinions on subjects and agree to make it clear when this happens.

In a rapidly developing field of research and understanding, it is difficult to guarantee that all of the information we present is the most current. A lot of the most current information relates to theories that are still developing. As with all scientific research, current does not always equate with correct. Our teaching assumes that emerging ideas which are incomplete or confusing are excluded until they are more generally accepted.

N.A.N is continually reviewing, updating and improving the Services we provide based upon feedback from Clients and those who participate in our activities.

10. CONFIDENTIALITY and RECORDS

Since the majority of individuals contacting N.A.N are highly vulnerable to further abuse and harm, confidentiality is of the utmost importance and priority.

N.A.N agrees that:

  • all visitor about individuals will remain confidential, unless permission is granted for disclosure, in which case, only minimally identifying information (generic location, organisation or establishment name) will be disclosed,
  • where visitors are referred to third party professionals, no personally identifying information will be shared with that third party by N.A.N., unless previously agreed. It is the responsibility of the person making the enquiry to provide the necessary information when requested to do so by the third party service provider.

The Service Provider agrees to keep records of events, activities and emergencies as required by their own procedures and legislation.

N.A.N will keep anonymised records of all events and activities.

11. FORCE MAJEURE

Neither Client nor N.A.N shall be in breach of this Agreement nor liable for delay in performing, or failure to perform, any of its obligations under this Agreement if such delay or failure result from a Force Majeure Event.

12. INTELLECTUAL PROPERTY

All Intellectual Property Rights in or arising out of or in connection with the activities, Sessions and Events or handout materials supplied as agreed by the Client and N.A.N (other than Intellectual Property Rights in any materials provided by the Client) shall be owned by N.A.N.
